Mezzanine

Structure

A layer of subordinated debt that sits between senior debt and equity. It carries a higher cost and more risk than senior debt, and often includes an equity kicker such as warrants. It fills the gap between senior debt and the equity check.

Example

A 100 million mezzanine tranche might carry a 12 percent coupon plus warrants.
