Dell returns to the public markets (2013)

Acquirer: Dell Technologies (re-IPO) · Target: Dell Technologies (public listing) · Value: $11.9 billion (equity value at IPO)

After six years in private hands, Dell went back to the public markets in a blockbuster initial public offering that raised roughly $11.9 billion, making it one of the largest IPOs in history at the time. The company had grown significantly under its PE owners, and the re-listing was a huge win for the sponsor group, which had bought the company for $24.4 billion and watched it transform into a more focused, more profitable business. The deal closed the loop on what had been the biggest PE transaction of the 2000s.

Why it mattered

The IPO proved that a PE owned technology company could return to public markets at a much higher valuation, delivering strong returns to the sponsors. It validated the take private model for large tech companies and showed that the public markets would reward a modernized, scaled business. It remains a reference point for how sponsors can exit mega cap technology deals.
